SAN FRANCISCO: Fresh from a failed courtship with Microsoft, Yahoo on Thursday rushed into Google’s arms in the hope an alliance will improve its sagging fortunes and quell a rebellion by stockholders.

Yahoo and Google announced a deal to put the Internet search king’s expertise to work pumping money from advertising posted next to Yahoo internet search results.

Google and Yahoo began discussing an alliance in early February, shortly after Microsoft offered to buy Yahoo, said Google chief executive Eric Schmidt.

“The most entertaining conversations were those that took place in buildings that Yahoo owns in unknown and unfindable locations,” Schmidt said during a conference call with analysts and reporters.

Google co-founder Larry Page and other executives arrived on bicycles for clandestine meetings in covert locations, Schmidt added.

Schmidt said it was during the past few weeks that he and Yahoo chief executive Jerry Yang had “serious conversations” and teams spent sleepless nights pulling together a deal inked on Thursday.

Google co-founder Serge Brin said it is “very exciting” to be working with Yahoo and its founders David Filo and Yang, whose time as students at Stanford University overlapped that of Brin and Page.

“We share quite a history and culture,” Brin said. “It was David Filo and Jerry Yang that encouraged us to start a company that, in turn, became Google.”

Brin said a priority is ensuring that Yahoo remains “a strong independent company.”

Yahoo hopes the alliance will appease stockholders angry that board members rejected Microsoft’s bid, which offered an attractive premium on the market value.

Billionaire corporate raider Carl Icahn has been amassing Yahoo shares in a campaign to overthrow the Yahoo board for rejecting a Microsoft takeover.

“This agreement provides a source of funds to both deliver financial value to stockholders from search monetization and to invest in our broader strategy,” said Yahoo president Sue Decker said.

The deal gives Yahoo “the opportunity to deliver more relevant ads to users and provide advertisers and publishers with better advertising technology to help them succeed,” Schmidt said.

“This agreement will preserve the competitive and dynamic online advertising space.”

The deal also breaks down the wall between free instant messaging services offered by Yahoo and Google, meaning users of either service will be able to chat online with each other in a way not possible before.

The alliance focuses on text ads posted alongside Yahoo online search results but has the potential to expand to include display advertising.

The deal is limited to Yahoo web properties in the United States and Canada, but Google said there is potential to extend it to other parts of the world.

In a move evidently crafted to address anticipated anti-trust concerns, the agreement frees Yahoo to also display paid search results from other third parties and its own Panama ad platform.

While searching for a “white knight” to save it from Microsoft’s clutches, Yahoo tested using Google’s AdSense for Search service for two weeks in April.

Microsoft offered to buy Yahoo for 44.6 billion dollars in stock and cash on January 31, but withdrew the offer on May 3, saying Yahoo refused to budge despite the software giant upping its bid to nearly 50 billion dollars.

The test showed that Google’s methods generated more money than Yahoo’s advertising platform.

Microsoft was enraged by the experiment and warned that a Yahoo-Google partnership raises anti-trust concerns because it would cover some 90 percent of online advertising.

Microsoft has significantly ramped up its representation with US legislators and will fiercely fight an alliance by the top two players in the Internet Search advertising market, according to Silicon Valley analyst Rob Enderle.

“They believe if Yahoo and Google do this, they can let loose the dogs of antitrust war on Google,” Enderle said.

Google general counsel Kent Walker said the deal requires no regulatory approval but that the company will discuss it with regulators because it is so “high profile.”

Yahoo is responding to a three-week deadline issued by Microsoft Chief Executive Steve Ballmer in a letter to Yahoo on Saturday for Yahoo to agree to Microsoft’s $31 a share cash-and-stock offer or risk seeing the bid lowered.

“This is a hardball tactic to turn up the heat on Yahoo’s management to start negotiating immediately,” Jeffries and Co analyst Youssef Squali said. He still predicts the Microsoft deal will be done at $31.

Directors of Sunnyvale, California-based Yahoo rebuffed Microsoft’s original offer in February, saying it undervalues Yahoo and that it is seeking alternatives.

Meanwhile, talks on a potential alliance between Yahoo and Time Warner Inc’s AOL have intensified, according to the person, who was not authorized to speak about the matter on the record. An AOL representative was not immediately available for comment.

A Yahoo spokeswoman declined to comment.

Yahoo has also held talks with News Corp, but these talks have cooled, the source said.

Yahoo shareholders and analysts say Yahoo’s options fall into two major categories; find an ally to help demonstrate Yahoo is worth more as an independent player or surprise the market with a strong show in its quarterly results.

The consensus on Wall Street is that no “white knight” will emerge to whisk Yahoo away from Microsoft and its proposed cash-and-stock offer currently valued at $42.2 billion (21.2 billion pounds).

Yahoo’s management pitched the potential of alliances with Google Inc and AOL to shareholders as recently as last week as part of a roadshow to convince institutional investors that its business can thrive without Microsoft.

Yahoo executives also told investors that regulatory risks would undercut the value of any deal with Microsoft.

One investor said his firm met Yahoo management last week, and executives said they were “far along” in discussions with these companies.

Yahoo presented these alliances as a way to “monetise the different layers of their income statement,” said the investor, who declined to be identified as the meeting was confidential.

Another investor, whose firm holds about 1 per cent of Yahoo’s shares, said Yahoo management recently spoke to them about the “value creating” potential of a tie-up with Google, centered on Yahoo outsourcing its search functions to Google.

Although Yahoo had previously suggested a possible counteralliance with Google as a way of combating a Microsoft takeover, Google’s parallel announcement today that it would acquire the social media site Facebook indicates that Google saw little value in adopting Yahoo and was seeking to compete with Microsoft in new spaces, said Nigel Hydecombe, an analyst at Trapezoid, a U.K. research firm.

When the Yahoo acquisition is completed, Microsoft will transition MSN users to Yahoo and leave its MSNBC.com service alone. Ironically, hackers hijacked the MSN DNS addresses shortly after the announcement and redirected all traffic to Google for about 90 minutes, before Microsoft could wrestle back control. Likewise, Yahoo’s DNS was redirected to its Chinese site, which has become a poster child for advocacy groups of corporate complicity in China’s stifling of free speech. Yahoo regained control in less than an hour.

It’s not yet determined which MSN functionality will be moved to the Yahoo site or what Yahoo functionality will be discontinued or changed. But Microsoft will transition to Yahoo’s advertising platform, which has done better than Microsoft’s, although neither has posed a significant threat to Google’s dominance in that sector.

“We expect a six-month transition planning process to make the final decisions,” said Steve Ballmer, Microsoft’s CEO.

Executives at both Microsoft and Yahoo indicated that Yahoo’s extensive datacenter holdings would contribute to Microsoft’s ability to offer Web-based services, such as the Web site hosting, Office add-ons, and Dynamics small-business on-demand apps that Microsoft has slowly been releasing under its Live brand.

well ADOBE the big giant for the much used software photoshop has opened an online portal which lets you retouch your pics on a fly and lets you store the images online. However, it comes with a storage limit of 2GB. It lets you crop,trim,rotate images and instantly share it with anyone.

Adobe, made a smart move after its much more desktop establish product. It opens a new source of web income for it can make money offering Web services directly to consumers. It is there to give competition to many online applications, like flickr, picasa etc.

Also, Adobe needed to build the back-end infrastructure needed to offer the service directly to consumers, rather than partner with another photo-sharing site, as it did with its online video editor, Premiere Express.

“We’ve seen a convergence of trends where the everyday consumer is becoming overwhelmed with the number of images and they have the desire to share images in new and interesting ways,” said Doug Mack, the vice president of consumer and hosted solutions at Adobe.

“We’re at the point now with bandwidth that most consumers can use really rich Internet applications and also have a relationship with a service where they store and upload images,” he said.

The service will go live in beta test mode on Thursday. Mack said that the company intends to use the test period as a way garner feedback from customers.

Adobe intends to offer more features to consumers who pay a yearly fee. Some planned features include a printing service, more storage, support for audio and other media, and the ability to read additional image file types (the service works with .JPGs now.)

Adobe also plans to build an offline client using AIR (the Adobe Integrated Runtime) so that people can edit photos offline, executives said.

Among the chips in AMD’s Phenom family of processors is one that has three cores, or electronics brains, compared with the two or four most generally available. AMD said that its Phenom X3 has as much as a 30 per cent performance improvement in some instances compared to a dual-core chip operating at the same frequency.

AMD first disclosed plans to make the Phenom X3 in 2007, saying then that it was able to build a three-core chip because the brains are on the same piece of silicon, rather than two or four cores on different pieces of silicon joined together.

The company had a difficult 2007 as its full-year loss swelled to $3.38 billion from a net loss of $166 million in 2006. Partly to blame was a design problem with its Barcelona server chip that AMD said was key to regaining its competitive edge against Intel.

The processors are aimed principally at the mainstream PC market, but also include a high-end Phenom Black Edition chip that video gamers can easily speed up themselves, a process known as overclocking, an analyst said.

“AMD is increasingly focused on the mainstream PC market and I think they will be quite competitive there,” said analyst Rob Enderle of the Enderle Group.

AMD has improved its execution so far in 2008, said Patrick Moorhead, a marketing vice president at AMD, pointing to new graphics chips from ATI, a chipmaker it bought, and a new chipset that he said was receiving strong reviews.

“I think we’re on a little bit of a roll here,” Moorhead said. “2008 is a much better year for us.”

He said the new processors from AMD are particularly well suited to applications like editing and watching high-definition video, multimedia and gaming.

PCs using the processors will be available later this week or next week, Moorhead said.

Yes, Google actually called up at my workplace and it was an automated call, which first confirmed the legitimacy of submission, and then asked to enter the random 4-Digit string generated by google on a fly..

Look what guys, as soon as i pressed the 4keys on my phone, my browser got refreshed and google said, Thanks ..

Holy Shit !! isn’t it fantastic.. now google calls you in any part of the world.. No matter, Even if you are adding Osama’s Den :p

hehehehe..
